Company Secretary & Entity Manager

About the role

RemotePass is a global platform enabling international hiring, onboarding, payroll and compliance. The Company Secretary and Entity Manager will own entity setup, ongoing compliance and governance across the RemotePass group, reporting to the Head of Finance.

What you'll do

• Set up new entities from scoping to incorporation, licensing, registrations and bank account opening
• Maintain compliance across all entities including filings, renewals, director/shareholder changes and UBO registers
• Draft board and shareholder resolutions and manage notarisation, certification, and legalisation of documents
• Manage local counsel and corporate service providers across jurisdictions
• Build and maintain an entity and compliance calendar to prevent missed filings
• Support broader legal work such as insurance renewals, NDAs and vendor agreements as needed

What they're looking for

• 4+ years of hands-on entity management or corporate legal experience
• Experience setting up and maintaining entities across multiple jurisdictions
• Proven execution track record with filings, incorporations and registrations done personally
• Corporate governance experience including drafting resolutions and maintaining statutory records
• Familiarity with notarisation, certification and legalisation of documents
• Strong project management skills and ability to juggle multiple entities and deadlines
